1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of OfficeIQ, an AI product owned and operated by Webuters Technologies Pvt Ltd ("Company", "we", "our", or "us", “www.webuters.com”). By accessing or using OfficeIQ, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use OfficeIQ.

1.2. Service Description

OfficeIQ is an AI-powered platform available at officei.ai that provides you access to train your data responsibly, talk to your data and create content or other observations using it. The Company reserves the right to modify, suspend, or discontinue any aspect of the Service at its sole discretion.

2. User Responsibilities

2.1. Eligibility

You represent and warrant that you are at least 18 years old or have the consent of a parent or guardian to use OfficeIQ. By using the Service, you agree to comply with all applicable laws and regulations.

2.2. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

2.3. Prohibited Conduct

You agree not to:

• Use for Unlawful Purposes: Use OfficeIQ for any illegal, fraudulent, or unauthorized purposes.
• Engage in Harmful Activities: Transmit or upload any viruses, malware, or other harmful code.
• Misuse the Service: Interfere with or disrupt the integrity or performance of OfficeIQ or its associated systems.
• Impersonate Others: Impersonate any person or entity or misrepresent your affiliation with any person or entity.

3. Intellectual Property

All content, features, and functionality on OfficeIQ, including but not limited to text, graphics, logos, and software, are owned by Webuters Technologies Pvt Ltd or its licensors and are protected by intellectual property laws.

3.2. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use OfficeIQ for its intended purposes. This license does not include any rights to modify, reproduce, distribute, or create derivative works of the Service without our prior written consent.

4. Data Privacy

5. Payments and Billing

5.2. No Refunds

Except as otherwise expressly stated, all fees are non-refundable. This includes any fees for subscriptions, services, or features of OfficeIQ.

5.3. Billing Errors

If you believe you have been charged incorrectly or have made an extra payment, you must contact us within 3 days of the transaction. We will review your claim and, if applicable, provide a refund for the overpaid amount.

6. Termination and Suspension

6.1. Termination by You

You may terminate your use of OfficeIQ at any time by following the cancellation procedure provided in your account settings or contacting our support team.

6.2. Termination by Us

We reserve the right to suspend or terminate your access to OfficeIQ if you violate these Terms or engage in activities that we deem harmful to the Service or other users. In such cases, no refunds will be provided.

6.3. Effect of Termination

Upon termination, your license to use OfficeIQ will immediately cease, and you must cease all use of the Service. Any accrued obligations or liabilities will survive termination.

7. Disclaimers and Limitation of Liability

7.1. No Warranty

OfficeIQ is provided "as is" and "as available" without any warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.

7.2. Limitation of Liability

To the fullest extent permitted by law, Webuters Technologies Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of OfficeIQ. Our total liability for any claim related to the Service will be limited to the amount you paid for the Service in the [insert time frame, e.g., 12 months] preceding the claim.

8. Indemnification

8.1. User Indemnity

You agree to indemnify, defend, and hold harmless Webuters Technologies Pvt Ltd, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of OfficeIQ or your violation of these Terms.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

9.2. Dispute Resolution

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Delhi, India. You agree to submit to the personal jurisdiction of these courts.

11. Miscellaneous

11.1. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and Webuters Technologies Pvt Ltd regarding your use of OfficeIQ and supersede all prior agreements and understandings.

11.2. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

11.3. Waiver

The failure of Webuters Technologies Pvt Ltd to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

11.4. Assignment

We may assign our rights and obligations under these Terms to any third party without notice to you. You may not assign these Terms or any of your rights or obligations hereunder without our prior written consent.

11.5. Force Majeure

We shall not be liable for any delay or failure to perform our obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, acts of terrorism, or disruptions in telecommunications.
